“USER”, “YOU”, “YOURS”, “CLIENTS” shall mean an individual accessing from the website.
“PARTY”, “PARTIES”, “US” refers to both the clients.
INTRODUCTION
Welcome to our Digital Marketing Service!! If you have availed and using our service, you are agreeing to comply with and be bound by these terms and conditions (“Terms of Use”), which together with our Privacy Policy (“Privacy Policy”) and the Service Agreement, executed between the Company and the Registered User (“Service Agreement”) govern the Company’s relationship with You.
ELIGIBILITY
By using the service, you represent and warrant that:
• You are fully able, competent and authorized to enter into the terms, conditions, obligations, representations and warranties set forth in these Terms of Use;
• You are of legal age to form a binding contract and are not a person barred from receiving Services under the applicable laws. Notwithstanding the foregoing, if You are below the age of eighteen (18) years, you may avail the Services provided by the Platform through Your legal guardian in accordance with the applicable laws;
• You are authorized to use and avail services or access the Platform for and on behalf of the company or any other entity, you are representing.
• Your use of the Platform does not violate any applicable law or regulation. Use of the Platform is void where prohibited.
PRICES & PAYMENTS
• The prices that we have posted in our website has a validity time and post completion of the said period, there may be changes in the price. If there are any additional charges, it will be communicated via email or will be mentioned in the contract.
• The website contains prices for 3-Month’s plan and we also have customisable monthly plan that may suit your requirements. Those customisable plans cannot be compared with the 3-Months plan as charges vary for each service.
• All estimates/quotes are based on our understanding of your requirements and as per the given time frame. Any changes including micro-improvements, may incur additional costs accordingly. Please ensure and clarify our understanding over a mail or call or a personal meeting.
• Q Digital Marketing will issue a Purchase order once client confirms for the agreement. An initial payment of 50% to be made during this time.
• We will send a complete contract for the client and the remaining 50% payment to be made during this time. All fees or payments must be paid in full prior to the start of the campaign. The payment can be made online or we can send our executives to collect the payment. Upon receiving the full payment, and making sure that we have complete access and contents from client, our process will commence.
• Q Digital Marketing team will work on the creative designs, organic posts & required works and deliver them efficiently within the agreed duration.
• On Day-to-Day process, only upon client’s request, Q Digital marketing team will proceed with the daily process and creatives. If incase the creative design does not meet the client’s expectation, Q Digital Marketing does the required modification as said by the client.
• If the designs are made according to the client satisfaction and yet not want to proceed with any of the ideas and requires termination, the payment will not be refunded. All fees and payments are non-refundable once the contract is signed.
• All paid marketing related payments will be initiated directly from their social media account, the client can able to check out every detail about the campaign. The Campaign budget details will be discussed in detail before the start of the campaign. This includes boosting a post or start of a new campaign and etc. This paid marketing charges is not included in our monthly maintenance plan and based on the campaign budget the amount is decided by the client. Any assistance with regards to the payment debits will be assisted by our experts. The amount debit date will be mentioned in the concern social media websites (FACEBOOK, INSTAGRAM, YOUTUBE ETC.) Terms and Conditions page and all other details regarding the spending of campaign can be accessed in their social media account.
GENERAL CONDITIONS
• Clients to ensure that they have provided all content required which includes text, articles, photos, Logos, graphics, videos and etc.
• Q Digital Marketing may require certain tools/software/services, Client should be responsible for all cost one time or monthly for such tools. Q Digital Marketing also agrees that it will not purchase or subscribe to such software without pre-approval from the client.
• If the client would like to use Q Digital Marketing for services outside of the scope of services, additional charges may apply for the same.
• All fees, services, documents, reports are confidential.
• Q Digital Marketing checks with the clients to use clients name and website for company’s promotion, online portfolio, past clients list on social media, in print material etc. for advertisements and promotions of Q Digital Marketing services to other companies.
• Both parties acknowledge that the internet is neither owned nor controlled by any one entity; therefore, Q Digital Marketing can make no guarantee on the results that may be provided as a result of our work. Q Digital Marketing represents that in good faith it shall make every effort to ensure that the client is successful and leads are generated as a result of our work. Q Digital Marketing does not warrant that the functions supplied by its work, deliverables will be uninterrupted or error-free. The entire risk as to the quality and performance of the work and deliverables is with client.
• We create posts on daily basis or 5 posts per week based on the client’s plan, we reuse these creative posts for posting stories on the social media pages (FB, Instagram). We also create separate creatives for stories whenever required.
• Q Digital Marketing has no control over the policies of social media sites with respect to the types of sites and/or content that they accept now or in future. Any Temporary hold to the social media account or account block issues to be communicated with the concern social media company. Q Digital Marketing will provide any support clarification of the issue caused but do not take any responsibility of such action.
• Q Digital Marketing will co-operate with the client in all matters relating to the service.
• The client represents to Q Digital Marketing and unconditionally guarantees that any elements of text, photos, LOGOs, trademarks furnished to us via email, phone, in-meeting and otherwise for inclusion in the marketing are owned by the client, or that the client has permission from the rightful owner to use each of these elements. Under no circumstances, Q Digital Marketing will be liable for Client’s content, or for any loss or damage of any kind incurred as result of the use of any content posted.
CONTRACT
• The contract constitutes the whole agreement between the parties relating to its subject matter. Each party acknowledges all the details in the contract and then sign the contract before the start of the service. Any changes to be mentioned in the contract should be said before acceptance of the contract. Changes cannot be made post signing the contract.
• The client shall not, without the prior written consent of Q Digital Marketing assign any of its right or obligations under the contract. A person who is not a party to the contract shall not have any rights under or in connection with it.
WRONG INFORMATION
You represent that the information provided by you only relates to you and not to any third party. Any service-related issues or product defects complaints to be sorted from your end. We are only a marketing agency and we do not take any responsibility on your products and services. Any legal issues raised for this need to be handled from your end. Professional details of your products and services should be explained to us before the contract is signed. Usage of False information or misrepresentation shall result in moving all of your content and at our sole discretion we may choose to not provide services or products to your Company.
ABUSE
The client agrees to work together, deal and behave with Q Digital Marketing in a professional manner. Any kind of repeated pattern of inappropriate, false accusations, harassment, derogatory or threatening speech directed towards Q Digital Marketing, its officers, staff, and contractors will not be tolerated. We have the right to take strict action, legal steps, abiding the law and resume the development process and any related Services right away offering no refund or guarantees to the Client. Q Digital Marketing has zero-tolerance for Clients abusing our Services.
CONFIDENTIALITY
Q Digital Marketing, its employees and sub-contractors agree that, except as directed by the client, it will not at any time during or after the term of the agreement, will disclose any confidential
information to any person whatsoever. Likewise, the client agrees that it will not convey any confidential information obtained about the service provider including the strategies, vision, training to other parties.
DISCLAIMER
Q DIGITAL MARKETING DOES NOT WARRANT OR REPRESENT THAT THE MATERIAL ON THIS WEBSITE IS ACCURATE, COMPLETE OR CURRENT OR THAT THE WEBSITE WILL BE FREE OF DEFECTS OR VIRUSES THOUGH DUE CARE IS CONSTANTLY TAKEN ON THE PART OF Q DIGITAL MARKETING. NOTHING CONTAINED IN THE PAGES OF THIS WEBSITE SHOULD BE CONSTRUED AS LEGAL, MEDICAL, COMMERCIAL, OR OTHER PROFESSIONAL ADVICE.
